Please read these Terms of Service carefully before using Our Service.
Interpretation and Definitions
Interpretation
The words whose initial letters are capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
Definitions
For the purposes of these Terms of Service:
- Account means a unique account created for You to access our Service or parts of our Service.
- Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
- Company (referred to as either "the Company", "We", "Us" or "Our" in these Terms) refers to FoundryEdge LLC d/b/a Roadara.
- Country refers to: Tennessee, United States.
- End-User Device means any computer, phone, or tablet that can access the Service.
- Feedback means feedback, innovations, or suggestions sent by You regarding the attributes, performance, or features of our Service.
- Plan means the subscription tier (for example, Free, Pro, Fleet, or Beta) that determines Your fees, feature access, usage limits, and device allowances.
- Router Device means a Peplink (or similar) router that You connect to the Service by providing connection details (such as hostname or IP, protocol, and port) so the Service can retrieve WAN and related status on Your behalf.
- Service refers to the Roadara web application and related services operated by the Company, including site awareness, trip planning, weather and map overlays, Peplink router connection features, billing surfaces, and related documentation.
- Subscriptions refer to paid access to the Service offered on a subscription basis by the Company to You.
- Terms of Service (also referred to as "Terms") means these Terms of Service, including any documents expressly incorporated by reference.
- Website refers to https://roadara.com and related Roadara app hosts (including staging environments used for testing).
- You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service.
Acknowledgment
These Terms govern Your access to and use of the Service and constitute the agreement between You and the Company.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.
You represent that You are at least 18 years of age. The Company does not permit use of the Service by anyone under 18.
Your access to and use of the Service is also subject to Our Privacy Policy and, for paid Subscriptions, Our Refund Policy.
Supported Service Area
The Service is offered and supported in the United States only. It is directed at users located in the United States. We do not represent that the Service, or any particular feature of the Service, is available, accurate, or appropriate outside that area. Some features rely on United States data sources and may return incomplete or no results for locations outside the United States. Creating an Account from outside the United States does not expand Our support obligation or change this geographic scope.
Subscriptions
Subscription Period
Certain parts of the Service are available only with a paid Subscription (for example, Pro). You will be billed in advance on a recurring basis (typically monthly) depending on the Plan You select.
Your Subscription will automatically renew at the end of each period, and Your payment method will be charged the then-current fee, unless You cancel before the renewal date or We cancel it. You may cancel at any time as described below. Where required by law, We will provide advance notice of upcoming renewals and clear instructions for cancellation.
Subscription Cancellations
You may cancel Your Subscription at any time through the billing / Customer Portal controls in Your Account settings (when available) or by contacting Us. You will continue to have access to paid features until the end of Your current billing period. No refunds will be provided for the current period, except as required by law or as described in Our Refund Policy.
Billing
You agree to provide accurate and complete billing information and a valid payment method. If automatic billing fails, We may suspend or downgrade Your access until payment is received, consistent with applicable Plan rules and any grace period We provide.
Payments are processed by Our third-party payment processor (Stripe). Roadara billing may be processed on a Stripe account shared with other FoundryEdge products; Your charges remain associated with Your Roadara Account. By providing a payment method, You authorize Us and Our processor to charge all fees due, including recurring Subscription fees, to that payment method.
Taxes
All fees are stated exclusive of taxes unless We expressly display otherwise at Checkout. You are responsible for all applicable sales, use, value-added (VAT), goods-and-services (GST), and similar taxes, duties, or governmental charges associated with Your Subscription, excluding taxes based on Our net income. Where We are required to collect such taxes, they will be added to Your invoice or Checkout total.
Fee Changes
We may change Subscription fees at any time. We will provide reasonable notice of material changes. Your continued use after the change takes effect constitutes acceptance of the new fees.
Refunds
Except where required by law, Subscription fees are non-refundable. Refund requests may be considered as described in Our Refund Policy.
User Accounts
When You create an Account, You must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of Your Account credentials.
You are solely responsible for all activity that occurs under Your Account. You agree to notify Us immediately of any unauthorized use.
You may not share Your Account credentials with third parties or allow others to access the Service through Your Account.
Router Connections and Credentials
If You use Peplink-related features, You may provide Router Device connection details and credentials so the Service can authenticate to Your router on Your behalf (for example, via a session cookie). You represent that You are authorized to access that Router Device and to provide those credentials.
You are responsible for:
- Keeping router credentials confidential;
- Ensuring Your router and network are secured;
- Understanding that WAN status, signal metrics, carrier data, backups, and related telemetry may be retrieved from Your Router Device and stored or displayed in the Service as You use those features.
We do not sell router credentials. We process them only to provide the features You request, subject to Our Privacy Policy.
Plans, Limits, and Feature Access
Your access to the Service is subject to the features and limits of Your Plan (including Free and invite-only Beta where applicable). Limits may include daily or hourly usage caps for certain features, maximum Router Devices, and feature gates.
The specific features and limits for each Plan are published on Our pricing page and/or reflected in Your Account, which together are the authoritative and current source for these values. Requests that exceed applicable limits may be rejected or throttled. We may modify limits and feature availability, and may impose additional limits to protect the security, integrity, availability, or performance of the Service. We will provide reasonable notice of material reductions that adversely affect a paid Plan. Usage limits are not a service-level guarantee and do not constitute an SLA unless a separate written agreement says so.
Modifications to and Availability of the Service
We are continuously improving the Service and may add, change, suspend, or discontinue features at any time.
The Service may occasionally be unavailable due to maintenance, updates, network conditions (including while You are traveling), Router Device connectivity, or factors beyond Our control. Unless a separate written agreement provides a service-level commitment, the Service is provided without any uptime or availability guarantee.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms.
You agree not to:
- Use the Service in any way that violates applicable laws or regulations.
- Attempt to gain unauthorized access to the Service, accounts, routers, or systems.
- Circumvent authentication, entitlements, rate limits, or security measures.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service (except to the extent such restriction is prohibited by law).
- Scrape, harvest, or bulk-download data from the Service beyond normal interactive use.
- Resell, sublicense, or redistribute access to the Service without prior written authorization.
- Interfere with or disrupt the integrity or performance of the Service, or the networks or infrastructure connected to it.
- Conduct or facilitate denial-of-service attacks, flood endpoints with traffic, or otherwise overload or impair the Service.
- Use the Service to send, relay, or facilitate spam, unsolicited messaging, or other abusive or malicious activity.
- Introduce malware, viruses, or other harmful code, or use the Service to probe, scan, or test the vulnerability of any system or network without authorization.
- Use map, weather, coverage, signal, or planning information as the sole basis for regulatory, safety-critical, or commercial decisions without independent verification.
We reserve the right to monitor usage and, to protect the security, integrity, availability, and infrastructure of the Service, to throttle, rate-limit, suspend, or terminate any Account or access that abuses the Service or otherwise violates these Terms — with or without notice.
Export Control and Sanctions Compliance
You must comply with all applicable export control and economic sanctions laws, including those of the United States. You represent that You are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions, and that You are not on any U.S. government list of prohibited or restricted parties. You agree not to access, use, export, or re-export the Service in violation of these laws.
License to Use the Service
Subject to Your compliance with these Terms and payment of any applicable fees, the Company grants You a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for Your personal or internal business purposes and within the limits of Your Plan.
This license does not transfer any ownership rights. All rights not expressly granted to You are reserved by the Company.
We may suspend, modify, or revoke this license at any time if You violate these Terms, if required to protect the Service or other users, or upon termination of Your Account.
Intellectual Property
The Service, including software, branding, documentation, and underlying technology, is and remains the exclusive property of the Company and its licensors.
Map tiles, weather data, hazard information, coverage estimates, and related outputs may come from third parties and are provided for informational and planning purposes only. They are not guaranteed to be accurate, complete, or current.
Our trademarks, trade names, and logos may not be used without prior written consent.
Your Feedback to Us
You assign to the Company all rights, title, and interest in any Feedback You provide. If such assignment is ineffective, You grant the Company a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and exploit such Feedback without restriction.
Links to Third-Party Services
The Service may contain links to third-party websites or services, and may call third-party APIs (for example, maps, weather, or geocoding). We are not responsible for the content, privacy policies, or practices of any third-party services.
Termination
We may terminate or suspend Your Account and access to the Service immediately, without prior notice, if You breach these Terms or for any other reason at Our sole discretion.
Upon termination, Your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.
We may make Your data available for export for a limited period following termination at Our discretion; after that period, We may delete or anonymize it in accordance with Our Privacy Policy and applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless the Company, its Affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your access to or use of the Service;
- Your violation of these Terms or any applicable law or regulation;
- Your Router Device credentials, configuration, or data submitted to the Service; or
- Your violation of the rights of any third party.
We reserve the right, at Our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by You, in which case You agree to cooperate with Our defense of such claim.
Limitation of Liability
To the maximum extent permitted by law, the Company and its suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to Your use of the Service.
Our total liability shall not exceed the amounts You paid Us in the twelve (12) months preceding the claim, or one hundred U.S. dollars (US $100) if You have not paid Us any amounts in that period.
Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied.
Without limiting the foregoing, We make no warranty that:
- The Service will be uninterrupted, secure, or error-free;
- Map, weather, hazard, coverage, signal, carrier, or planning information will be accurate, complete, reliable, or up-to-date;
- Router connectivity, WAN status, or carrier recommendations will meet Your specific requirements or reflect real-world performance in every location.
Signal metrics, coverage hints, and planning outputs are informational. They do not constitute real-time guarantees from any carrier, weather service, or government agency. You should not rely on the Service as the sole basis for safety-critical, regulatory, or commercial decisions.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of laws principles.
Dispute Resolution
Informal Resolution
Before filing a claim, You agree to first attempt to resolve any dispute informally by contacting Us at hello@roadara.com. We will attempt to resolve the dispute informally. If a dispute is not resolved within sixty (60) days of submission, either party may proceed as set out below.
Binding Arbitration and Class-Action Waiver
Except for claims that may be brought in small-claims court, and except for either party's right to seek injunctive or equitable relief to protect its intellectual property or confidential information, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered under the rules of a recognized arbitration body, conducted in the State of Tennessee, United States (or remotely, as the parties agree).
To the maximum extent permitted by law, You and the Company each agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You and the Company each waive any right to a jury trial and to participate in a class action.
Venue
To the extent any dispute is not subject to arbitration, You and the Company agree that it shall be brought exclusively in the state or federal courts located in Tennessee, United States, and You consent to the personal jurisdiction of those courts.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Force Majeure
We will not be liable for any failure or delay in performance resulting from causes beyond Our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, power or internet failures, Router Device or carrier outages, or failures of third-party providers, hosting, or telecommunications.
Assignment
You may not assign or transfer these Terms, or any rights or obligations under them, without Our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
Entire Agreement
These Terms, together with Our Privacy Policy, Refund Policy, and any other documents expressly incorporated by reference, constitute the entire agreement between You and the Company regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, regarding the same subject matter.
No Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of the Company. A waiver of any breach shall not constitute a waiver of any subsequent breach.
Notices
We may provide notices to You by email to the address associated with Your Account, by posting within the Service, or by other reasonable means. You are responsible for keeping Your contact information current. You may send notices to Us at hello@roadara.com. Notices are deemed given when sent (for email or in-Service notices) or when received (for other methods).
Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated with reasonable notice. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
